Posting of Annual Report & Accounts and AGM Arrangements

The Ince Group plc (AIM: INCE) confirms that yesterday it posted its Annual Report & Accounts for the year ended 31 March 2020 to shareholders. It has also posted a Notice of Meeting and accompanying Form of Proxy for the Group's Annual General Meeting ("AGM"), to be held at 11.00am on Tuesday, 29 September 2020.

The 2020 Annual Report & Accounts and Notice of Meeting are now available to be viewed on the Group's website at www.theincegroup.com /investors/documents.

While the Board welcomes and values the opportunity to meet shareholders in person at the AGM and respond to their questions., in the light of current UK advice around COVID-19 impacting the holding of public meetings, and in the interests of ensuring the health, safety and wellbeing of all of our stakeholders, the Board have reluctantly made the decision that the AGM will be a closed meeting. This means that only the formal business of the AGM will be carried out in order to satisfy relevant legal requirements and for shareholders to pass the necessary resolutions. Arrangements have been made for a quorum of two shareholders to be present at the AGM. On this basis, shareholders may not attend the AGM in person and any shareholders seeking to attend the AGM in person will be unable to do so. If the situation changes the Company will issue a further announcement.

Shareholders are strongly encouraged to vote ahead of the AGM by completing and returning their form of proxy and to appoint the chair of the meeting as their proxy to ensure the appointed proxy is present at the AGM and can vote on their behalf. Voting at the AGM will be conducted by way of a poll, so that the votes of all shareholders are counted on the basis of the number of shares held.

Shareholders will be able to listen to the proceedings of the AGM through the Investor Meet Company platform and, to encourage engagement with shareholders, immediately following the conclusion of the AGM there will be a presentation and Q&A session for all shareholders through the Investor Meet Company platform. Shareholders should register via www.investormeetcompany.com and follow The Ince Group plc. Once registered, shareholders will be automatically invited to this AGM and future online meetings held on the platform.

Shareholders can send questions in advance to CoSec@incegd.com (stating the subject matter as "Ince AGM 2020"). So far as practicable and legally possible the directors will endeavour to answer any questions prior to or during the meeting. Shareholders will also be able to post questions during the meeting using Investor Meet Company.
