Item 1.01.  Entry into a Material Definitive Agreement.

On April 22, 2020, Kura Oncology, Inc. (the “Company”) entered into a Second Amendment to the Sublease (the “Sublease Amendment”) with Araxes Pharma LLC to extend the expiration date from April 30, 2020 to June 30, 2020.

The foregoing description of the Sublease Amendment does not purport to be complete and is subject to, and qualified in its entirety by reference to, the full text of the Agreement. The Company intends to file a copy of the Sublease Amendment with the Company’s Quarterly Report on Form 10-Q for the quarter ended March 31, 2020.
