(1) Atalaya Capital Management LP ("ACM") is the investment manager of Atalaya Special Purpose Investment Fund II LP ("ASPIF II") and Midtown East Management NL LLC ("Midtown"). ASPIF II is the sole member of Midtown. ACM disclaims beneficial ownership over such shares, except to the extent of its pecuniary interest therein, if any.
