On October 26, 2020, Xilinx, Inc., a Delaware corporation (“Xilinx”), entered into an Agreement and Plan of Merger (the “Merger Agreement”), by and among Advanced Micro Devices, Inc., a Delaware corporation (“AMD”), Thrones Merger Sub, Inc., a Delaware corporation and wholly owned subsidiary of AMD, and Xilinx.
