Credicorp Ltd.: Credicorp finalized the reorganization of its subsidiaries in Peru

Lima, PERU, May 7th, 2019 – Today, Credicorp Ltd.
transferred, through the Bolsa de Valores de Lima, 83,839,991
shares of Banco de Credito del Peru ("BCP") representing 0.9559% of
BCP’s share capital, which have been acquired by its subsidiary
Grupo Credito S.A. (“Grupo Credito”). The amount paid per share was
S/ 6.10.
With this transfer the share reorganization
process approved by the Peruvian Superintendencia de Banca, Seguros
y AFP ("SBS") through Resolution SBS N.° 1718-2018, which
authorized Grupo Credito to acquire up to 3.73% of the capital
stock of BCP, is completed.It should be noted that this transfer
does not entail any change in the control of BCP, since Credicorp,
through its subsidiary Grupo Credito, continues to hold the
ownership of 97.69% of BCP's shares.
