                           GASKELL plc (the "Group")

                                 Result of EGM


The Board of Gaskell plc announces that, following its Extraordinary General
Meeting held today, shareholder approval has been given for the proposed
disposal of each of the Gaskell Tile Division to Low & Bonar PLC and the
Kidderminster Property to Lescren Holdings Limited.

Completion of the disposal of the Gaskell Tile Division is expected to take
place on 21 February 2003. Completion of phase I of the Kidderminster property
Disposal is scheduled to take place on 7 March 2003. The expected date for
completion of phase II of the Kidderminster Property Disposal is the earlier of
28 days' notice from Tomkinsons Carpets Limited or 30 April 2003.
