CORRECTION: Please be advised that mailed copies of
the Notice of Annual Meeting of Shareholders and Management Proxy
Circular dated March 3, 2022 and the
Form of Proxy, incorrectly referred to the address of the TMX
Market Centre as 130 King Street West, Toronto, Ontario. This address should be
corrected to 120 Adelaide Street West, Toronto, Ontario, the Toronto Stock Exchange's
newly constructed event space in the heart of the financial
district and site of VersaBank's 2022 Annual General Meeting.
Electronic copies of the Notice of Annual Meeting of Shareholders
and Management Proxy Circular dated March 3,
2022 and Form of Proxy, filed on SEDAR, EDGAR and the Bank's
website contain the corrected address.
Shareholders wishing to attend the Meeting electronically will
not be able to vote at or during the Meeting and must submit their
advanced proxy voting instructions to Computershare Investor
Services Inc., by no later than 10:30 a.m. on April 18, 2022 by one of the methods described in
the Management Proxy Circular (available at:
www.versabank.com/investor-relations/shareholder-meetings/).
