IBC Advanced Alloys Corp. (“IBC” or the “Company”) (TSX-V: IB; OTCQB: IAALF) today announced that the board of directors of the Company has approved the issuance of up to a total of 600,000 common shares at a deemed price per share of C$0.20, being the closing price of the Company’s common shares on November 1, 2021, to its directors in consideration of their service to the Company for the period from July 2020 through June 2021. The issuance of the shares is subject to the approval of the TSX Venture Exchange (“TSX-V”). The shares will be subject to a four-month-and-one-day hold period from the date of issuance.

Mark A. Smith, Geoffrey Hampson, Simon Anderson and Michael Jarvis currently hold an aggregate of approximately 19.8% of the issued and outstanding common shares of the Company. Each issuance of common shares to the directors constitutes a “related party transaction” within the meaning of Multilateral Instrument 61-101 Protection of Minority Security Holders in Special Transactions (“MI 61-101”) and TSXV Policy 5.9 Protection of Minority Security Holders in Special Transactions. The Company is relying on the exemptions from the formal valuation and minority approval requirements contained in Sections 5.5(a) and 5.7(1)(a) of MI 61-101, on the basis that the fair market value of the transaction does not exceed 25% of the Company’s market capitalization.
