("Access Intelligence" or the "Company")
Result of General Meeting and Total Voting Rights
London, UK - 4 January 2021: Access Intelligence (AIM: ACC), the
technology innovator delivering Software-as-a-Service ("SaaS")
solutions for the PR, communications and marketing industries, is
pleased to announce that at the General Meeting held earlier today,
all resolutions relating to the issue of the 4,577,720 Conditional
New Shares pursuant to the Placing announced on 9 December 2020,
were duly passed by shareholders on a poll.
Admission of the 4,577,720 Conditional New Shares is expected at
8:00 a.m. on 5 January 2021. Full details of the Resolutions are
set out in the Circular published by the Company on 11 December
2020. The Circular is available for inspection in electronic form
on the Company's website, www.accessintelligence.com.
Pursuant to the Conditional Placing, the Participating Directors
(being Joanna Arnold, Mark Fautley, Christopher Satterthwaite and
Chris Pilling) have now been allotted their remaining Placing
Shares, these being an aggregate of 28,484 Conditional New
Shares.
Following Admission, the Company's issued ordinary share capital
will comprise 87,646,515 Ordinary Shares, including 2,966,666 held
in treasury, and therefore, the total number of Ordinary Shares in
the Company with voting rights will be 84,679,849. This figure may
be used by shareholders in the Company as the denominator for the
calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, the
share capital of the Company under the FCA's Disclosure Guidance
and Transparency Rules.
