Admission of Consideration Shares

On 14 May 2021, the Company announced the conditional acquisition of Saracen Fund Managers Limited. The consideration is, in part, to be satisfied by the issue of 166,904 new ordinary shares of 10p each in the Company (the "Consideration Shares").

Admission to trading on AIM

An application has been made to the London Stock Exchange for the Consideration Shares to be admitted to trading on AIM ("Admission"). The Consideration Shares will, when issued, rank pari passu in all respects with the existing ordinary shares, including the right to receive any dividends and other distributions declared, made or paid following Admission.

It is expected that Admission will become effective and that dealings in the Consideration Shares will commence at 8.00 a.m. on 30 July 2021.

Total Voting Rights

Following Admission, the total issued share capital of the Company will be 8,424,847 ordinary shares with each share carrying the right to one vote. The Company does not hold any ordinary shares in treasury. The above figure of 8,424,847 may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the applicable legal and regulatory requirements.
