Block Listing of Ordinary Shares

Application has been made to the Financial Conduct Authority and the London Stock Exchange for a block listing of 3,250,000 ordinary shares of 0.01 pence each in the capital of the Company (the "Shares") to be admitted to the Official List of the Financial Conduct Authority and to trading on the Main Market of the London Stock Exchange. It is anticipated that the Shares will be admitted on 17 January 2022.

The Shares are being reserved under a block listing and will be issued, as and when required, to the Company's current and former directors and employees in accordance with the terms of the Auction Technology Group plc Employee Benefit Trust, the Auction Technology Group plc Long Term Incentive Plan, the Auction Technology Group plc UK and International Share Incentive Plan, the Auction Technology Group plc Employee Share Purchase Plan, the Auction Technology Group plc Deferred Bonus Share Plan and the Project Haka Rollover Agreements (relating to the acquisition of LiveAuctioneers).

When issued, the Shares will rank pari passu in all respects with the existing issued shares of the Company.
