   FUTURE CHANGE IN BOARD COMPOSITION 
 
 
 
   Boussard & Gavaudan Holding Limited announces planned changes in its 
Board composition. 
 
 
 
   As stated in its annual financial report, the Board recognises the 
merits of refreshing its composition as well as planning for future 
succession. Mr Bruce James was appointed as a new independent 
non-executive director on 4 March 2021, and the Board intends to 
continue evolving its composition on a periodic basis. 
 
 
 
   Mr Andrew Henton has served on the Board for nine years and has served 
as Chairman for three of those years. While leading the Board, Mr Henton 
has demonstrated independent and objective judgement whilst promoting a 
culture of openness and debate. Mr Henton has signalled his intention to 
step down as Chairman and retire from the Board prior to the date of the 
Company's Annual General Meeting in 2022.
