Notice of AGM

Update to Dividend Timetable

14 October 2020 - Beeks Financial Cloud Group Plc (AIM: BKS), a cloud computing and connectivity provider for financial markets, is pleased to confirm that the Annual Report & Accounts for the year ended 30 June 2020, together with the Notice of Annual General Meeting ("AGM") and a Form of Proxy, has today been posted to shareholders.

The Annual Report & Accounts and the Notice of AGM are available on the Company's website at www.beeksfinancialcloud.com.

In light of the current restrictions, the Board hopes that members will understand that the AGM will be held on a closed basis and this year members will not be able to attend. This decision has been taken to protect the health and safety of our colleagues and shareholders in light of the COVID-19 Related Measures currently in place and recognising the possibility of increased measures being introduced nearer to the date of the AGM. The AGM will be held as a closed meeting that is solely functional in format - the meeting will comprise only the formal votes without any business update or question and answer session. A very limited number of persons from the Company will be present to conduct the meeting such that relevant legal requirements can be satisfied.

As shareholders will not be able to attend in person, we strongly encourage voting on all resolutions by completing a proxy appointment form appointing the 'Chair of the Meeting' as your proxy. All valid proxy votes to be exercised by the 'Chair of the Meeting' will also be included in any vote taken at the meeting. The results of the votes on the proposed resolutions will be announced in the normal way, via poll, as soon as practicable after the conclusion of the AGM.

To be effective, the proxy form, and any power of attorney or other authority under which it is executed (or a duly certified copy of any such power or authority), must be deposited at Computershare Investor Services PLC, The Pavilions, Bridgwater Road, Bristol BS99 6ZY by 11.00 a.m. on 16 November 2020 and if not so deposited shall be invalid.

In order to provide shareholders with an opportunity to ask questions, as they would normally be entitled to do at the AGM, shareholders are invited to submit to the Directors any questions they would otherwise have raised at the AGM, in advance of the meeting via email to investorrelations@beeksfinancialcloud.com by 11. a.m. on 16 November 2020. Responses to the questions will be provided following the conclusion of the Annual General Meeting.

Whilst this year's AGM will be solely functional, the Board would like to assure shareholders that the measures adopted this year are temporary in light of the COVID-19 pandemic.

The AGM will be held at 11.00 a.m. on Wednesday, 18 November 2020 at Lumina Building, 40 Ainslie Road, Hillington Park, Glasgow, Scotland, G52 4RU.

Update to Dividend Timetable

The Board has proposed a final dividend of 0.15p. Subject to shareholder approval at the forthcoming Annual General Meeting, the final dividend is expected to be paid on 27 November 2020 to shareholders on the register at 23 October 2020.
