Director / PDMR Shareholding
On 1 November 2021 Andrew Shepherd, Chief Executive Officer of
the Company, received 4,827 ordinary shares of 1 pence each in the
Company ("Shares") following the vesting of awards granted under
the 2018 Long Term Incentive Plan (the "LTIP"). These awards vested
in full as a result of the performance conditions being met.
Following the exercise, 1,401 of the LTIP Shares were sold, 639 at
a price of 2,700.00p per share on 1 November and 762 at a price of
2,700.00p per share on 3 November to meet the income tax, national
insurance and social security liabilities due.

To satisfy the exercise of the awards, 4,827 Shares were
transferred from the Brooks Macdonald Employee Benefit Trust (the
"EBT"). The Company was notified by JTC Employer Solutions Trustee
Limited, as trustees of the EBT, that following this transfer the
EBT now holds 518,218 Shares, representing 3.20% of the Company's
total voting rights.
