Transaction in own shares
Further to the announcement by Countryside Properties Plc (the
"Company") on 7 July 2021 of its intention to return surplus cash
of at least GBP450 million to shareholders and the completion of
the initial tranche of the Company's share buyback programme with
Barclays Capital Securities Limited announced on 15 October 2021,
the Company is pleased to announce that it has commenced another
tranche of the buyback programme (the "Programme").
The Company has entered into a discretionary and non-irrevocable
arrangement with Numis Securities Limited ("Numis") to conduct the
Programme on its behalf. Under this arrangement, Numis, an
independent third party, will act as principal and will make
purchases of the Company's ordinary shares in accordance with the
Company's instructions from time to time (including as to price and
volume limits).
As the Programme is a discretionary mandate, there can be no
certainty of the number of ordinary shares that will be acquired by
the Company but any purchases of shares by the Company in relation
to the Programme will be carried out on the London Stock Exchange
and in accordance with (and subject to the limits prescribed by)
the Company's general authority to repurchase shares granted by its
shareholders, the Market Abuse Regulation 596/2014 (as it forms
part of UK law pursuant to the European Union (Withdrawal) Act
2018) and Chapter 12 of the Financial Conduct Authority's Listing
Rules.
The Company announces that it has purchased the following number
of ordinary shares in the capital of the Company on the London
Stock Exchange from Numis:

Such purchases form part of the Company's Programme and were
effected pursuant to the instructions issued to Numis by the
Company on 30 November 2021, as supplemented from time to time in
accordance with the terms thereof.
The repurchased shares will be held in treasury. Following the
repurchase of these ordinary shares, the Company holds 9,525,801 of
its ordinary shares in treasury and has 515,101,069 ordinary shares
in issue (excluding treasury shares). To the extent that further
ordinary shares are repurchased under the programme, these will
also be held in treasury.
In connection with the above purchases, Numis as principal
purchased the ordinary shares to sell to the Company on the London
Stock Exchange. A full breakdown of the individual trades made by
Numis as principal in connection with the above purchases is
detailed below.
