Managerial Responsibility
Dr. Martens plc (the "Company") announces that on 9 February
2021 the following directors / persons discharging managerial
responsibility ('PDMRs') were granted Performance Share Awards (the
"Awards") under the Company's Long Term Incentive Plan (the "LTIP")
over ordinary shares of the Company (the "Shares").

As previously disclosed in the Company's final prospectus dated
29 January 2021, the Awards will vest subject to the achievement of
challenging earnings per share (67% weighting) and relative total
shareholder return (33% weighting) targets over three years and, on
vesting, will be subject to a further two-year holding period.
No consideration was paid for the grant of the Awards and no
price is payable on the exercise of the Awards.
The relevant notifications set out below are provided in
accordance with the requirements of Article 19 of the Market Abuse
Regulation.
