ADDITIONAL LISTING OF SHARES AND DIRECTORS' SHAREHOLDINGS
The Company announces that on the 28(th) May 2021 the final
exercise occurred of the share options which were granted under the
Goodwin PLC Equity Long Term Incentive Plan ("LTIP") and voted on
at the Annual General Meeting on the 5(th) October 2016 , following
the achievement of the performance criteria as outlined on page 28
of the Company's Directors Report and Accounts 2019. One third of
the vested options are being exercised, in aggregate, over 163,200
ordinary shares in the Company ("Shares"), at an exercise price is
GBP0.10 pence per share, being the nominal value.
Details of the number of Shares, each paid up in full, received
by the Executive Directors are set out below:

R. S. Goodwin (and deemed to be so).

Application has been made for the new 163,200 ordinary shares to
be admitted to the Official List of the UK Listing Authority and
trading on the London Stock Exchange's main market for listed
securities and dealing is expected to commence on or around 4th
June 2021 ("Admission"). The shares will rank pari passu with the
existing ordinary shares of the Company.
Total Voting Rights
Following Admission, the Company will have 7,689,600 ordinary
shares in issue. The Company has no ordinary shares held in
treasury. The total number of voting rights in the Company
following Admission will therefore be 7,689,600.
Following the above partial exercise of the 489,600 shares
vested on the 30(th) April, 2019 all the share options have now
been granted and exercised under the LTIP and there are no further
LTIP schemes in place.
