Director/ PDMR Shareholding, Exercise of Options & Total
Voting Rights
K3 Capital Group plc, a multi-disciplinary professional services
firm providing advisory services to SMEs, announces that on 16
March 2021, the Company issued and allotted 151,011 ordinary shares
of 1 penny each in the Company ("Ordinary Shares") pursuant to the
exercise of options by certain employees of the Company, including
Andrew Melbourne, Chief Financial Officer.
Mr Melbourne exercised options over 54,255 Ordinary Shares at an
exercise price of 95 pence per Ordinary Share, g ranted under the
Company's Long Term Incentive Plan 2017, all of which were
subsequently sold at a price of 295 pence per Ordinary Share .
Following the above transactions, Mr Melbourne's beneficial holding
of 464,802 Ordinary Shares remains unchanged.
Admission and Total Voting Rights
Application has been made for the 151,011 new Ordinary Shares to
be admitted to trading on AIM ("Admission") and dealings are
expected to commence on 22 March 2021. The new Ordinary Shares will
rank pari passu with the Company's existing Ordinary Shares.
The total number of Ordinary Shares in issue following Admission
will be 68,775,320 Ordinary Shares. No Ordinary Shares are held in
treasury. Accordingly, the figure of 68,775,320 may be used by
shareholders as the denominator for the calculations by which they
will determine if they are required to notify their interest in, or
a change to their interest in the Company under the FCA's
Disclosure Guidance and Transparency Rules.
