Director/PDMR Shareholding
Marks and Spencer Group plc (the 'Company') announces that on 4
December 2020 it was notified of the following transactions in the
Company's Ordinary 25p shares undertaken by directors / persons
discharging managerial responsibility ('PDMRs'):
1. Sharesave grant
The following directors/PDMRs were granted options to buy
ordinary shares in the Company ('shares') at an option price of 82p
per share under the terms of the Marks and Spencer Group plc

Please note: The Sharesave scheme is an all employee HMRC
approved Save As You Earn Scheme. Marks and Spencer employees can
save an amount up to a maximum of GBP500 per month, either in one
scheme or across a number of schemes, over a period of three years.
At the end of the period the amount saved can be used to buy Shares
at a price set at the start of the relevant scheme saving period.
Employees can withdraw their participation at any time and have
their money returned to them. The options to buy Shares are
normally exercisable for 6 months from the end of the savings
term.
2. Deferred Share Bonus Plan
Exercise of an award granted on 23 June 2017 under the Company's
2017 Deferred Share Bonus Plan ('DSBP') by a person closely
associated with a PDMR, and subsequent sale of shares as set out
below.

accordance with the requirements of Article 19 of the EU Market
Abuse Regulation.
