("Plant Health Care", or the "Company")
Results of Placing and Subscription
Plant Health Care plc, a leading provider of novel
patent-protected biological products to global agricultural
markets, today announces that, further to its announcement at 7.00
a.m. today (the "Placing Announcement"), it has successfully
completed the Fundraising which is now closed.
The Placing and Subscription has raised approximately $10.0
million (before expenses) through the placing of 50,397,913 new
Ordinary Shares of GBP0.01 each ("Ordinary Shares") with investors
at an Issue Price of 14 pence per share. The Fundraising was
substantially over-subscribed.
Capitalised terms used in this announcement (this
"Announcement") have the meanings given to them in the Placing
Announcement, unless the context provides otherwise.

Subscription
Under the Subscription, the Company has raised approximately
US$0.7 million (before expenses) conditional upon Admission of the
Subscription Shares by way of the subscription at the Issue Price
of 3,634,863 Subscription Shares.
Admission
Completion of the Placing and Subscription remains subject,
inter alia, to Admission of the Placing Shares and Subscription
Shares. It is expected that dealings in the Placing Shares and
Subscription Shares will commence at 8.00 a.m. on 24 March 2021 (or
such time and/or date as the Company and the Joint Brokers may
agree, being not later than 30 April 2021).
Total voting rights
Following Admission of the Placing Shares and Subscription
Shares, the Company will have a total of 302,387,482 Ordinary
Shares in issue. With effect from Admission of the Placing Shares
and Subscription Shares, this figure may be used by shareholders as
the denominator for the calculations by which they will determine
if they are required to notify their interest in, or a change to
their interest in the Company, under the Disclosure Guidance and
Transparency Rules of the FCA.
