Establishment of Workforce Engagement Committee and changes to Board Committee Composition

16 June 2021

Flutter is pleased to announce the establishment of a new Committee of the Board for the purposes of workforce engagement (the "Workforce Engagement Committee") with effect from 15 June 2021.

Flutter has over 14,000 colleagues from 75 different nationalities speaking 62 languages spread across five continents. Flutter actively embraces the diverse perspectives inherent in our global business. The establishment of the Workforce Engagement Committee will provide the Board with a new mechanism for engagement with its workforce. The Workforce Engagement Committee will replace the Employee Voice Forum previously established by Flutter for the purposes of employee engagement in accordance with the recommendations of the 2018 UK Corporate Governance Code.

The aim of the Workforce Engagement Committee is to monitor and facilitate workforce engagement within the Group in order to foster a meaningful dialogue between Flutter and its employees. Through the establishment of the Workforce Engagement Committee, Flutter aims to enhance the Board's awareness of employee matters in the context of the Board's decision-making process. The Workforce Engagement Committee's duties will include, but are not limited to, ensuring Flutter maintains appropriate workforce engagement policies, processes and communication channels throughout each division of the Group, encouraging participation in and evaluating feedback received from workforce engagement initiatives, and keeping fully informed on issues identified by employees and other stakeholders as having a material impact on the Group's workforce and communicating such issues to the Board.

Gary McGann, Chair, commented: "As a diverse international Group, we recognise the important role our workforce plays in our success. The establishment of the new Workforce Engagement Committee will provide a clear mechanism for the Board to listen to the views of our workforce and take account of these views in the Board's decision-making process".

In addition, Flutter announces the following changes to the membership of its Board Committees with effect from 15 June 2021:

(i) Holly Keller Koeppel has been appointed as a member of the Audit Committee, Risk Committee and Nomination Committee;

(ii) Nancy Dubuc has been appointed as a member of the Remuneration Committee and Nomination Committee;

(iii) Nancy Cruickshank has stepped down as a member of the Audit Committee and has been appointed as a member of the Nomination Committee; and

(iv) Mary Turner (Chair), Nancy Cruickshank, Nancy Dubuc, Richard Flint and Gary McGann have been appointed as members of the Workforce Engagement Committee.
