S4 Capital plc ("S(4) Capital" or the "Company")
Issue of Shares
On 17 September 2021 , S(4) Capital plc (SFOR.L) announced a
merger with Zemoga , a leading digital transformation services firm
specialising in providing product design, engineering and delivery
services to enterprise clients across multiple verticals (the
"Zemoga Transaction"). Pursuant to the terms of the Zemoga
Transaction, the Company has agreed to issue 3,802,397 ordinary
shares of 25 pence each in the capital of the Company, credited as
fully paid, as deferred consideration to the seller (the "Zemoga
Shares"). The Zemoga Shares will be subject to a restriction on
sale until 13 July 2024.
On 25 March 2021 , the Company announced the conditional merger
of Jam3, an award-winning Toronto-based design and experience
agency, with Media.Monks (the "Jam3 Transaction"). Pursuant to the
terms of the Jam3 Transaction, the Company has agreed to issue
1,182,859 ordinary shares of 25 pence each in the capital of the
Company, credited as fully paid, as deferred consideration to the
sellers (the "Jam3 Shares"). The Jam3 Shares will be subject to a
restriction on sale until 13 July 2024.
Two separate applications have been made to the FCA and to the
London Stock Exchange for the Zemoga Shares and the Jam3 Shares to
be admitted to the standard segment of the Official List of the FCA
and to trading on the London Stock Exchange's Main Market for
listed securities respectively ("Admission"). It is expected that
Admission will become effective at 8.00 a.m. on 13 July 2022.

Victor Knaap, Wesley ter Haar, Christopher Martin, Mary
Basterfield and Scott Spirit all joined the S(4) Capital Board as

Faure Walker, Paul Roy, Daniel Pinto, Sue Prevezer, Elizabeth
Buchanan, Naoko Okumoto, Margaret Ma Connolly, Miles Young and Mary
Basterfield.
The Company now has over 9,000 people in 32 countries across the
Americas, Europe, the Middle East and Africa and Asia-Pacific and a
current market capitalisation of approximately GBP1.2 billion
(c.$1.4 billion) and would rank in the FTSE 200. It achieved
Unicorn status in a little over one year, unique in the advertising
and marketing services industry. Sir Martin was CEO of WPP for 33
years, building it from a GBP1 million "shell" company in 1985 into
the world's largest advertising and marketing services company with
a market capitalisation of over GBP16 billion on the day he left.
Today its market capitalisation is GBP8.54 billion, dropping into
third place behind both Omnicom and Publicis for the first time
ever. Prior to that Sir Martin was Group Financial Director of
Saatchi & Saatchi Company Plc for nine years.
