Issue of shares

Esken, the aviation and energy infrastructure group, announces that it has agreed to issue 6,000,000 ordinary shares of 10 pence each (the "Shares") to DLP Holdings sarl, a Luxembourg company wholly-owned by funds managed by Cyrus Capital Partners LP ("Cyrus"). The Shares will be issued in satisfaction of a put option between Esken and Cyrus arising out of their previous interest in Connect Airways.

Applications have been made for the Shares to be admitted to the premium segment of the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange's main market for listed securities ("Admission"). It is expected that Admission will become effective and dealings in the Shares will commence at 8 a.m. on or around 7 May 2021. The Shares will rank pari passu in all respects with the Company's existing ordinary shares.

Following this share issue, the total issued share capital of the Company will consist of 630,926,123 ordinary shares of 10 pence each (with each ordinary share having one vote) and 1,000 non-voting deferred shares of 0.1 pence each. No shares are held in treasury. Accordingly, the total number of voting rights in the Company as at 7 May 2021 will be 630,926,123 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
