ISSUE OF EQUITY AND TOTAL VOTING RIGHTS

The Directors of Triple Point VCT 2011 plc (the "Company") are pleased to announce the allotment of 1,486,703 Venture Shares of 1p each at an average price of 96.893p per share on 1 April 2021 pursuant to the offer for subscription set out in a prospectus issued by the Company on 14 September 2020.

The shares allotted are to be admitted to the Official List. Admission is expected to become effective on or around 12 April 2021.

As a consequence of this allotment the issued share capital and total voting rights of the Company is now 37,856,447:

9,951,133 A Ordinary Shares

6,805,351 B Ordinary Shares

21,099,963 Venture Shares
