an Option Amending Agreement (the "Agreement ") dated January 15, 2009
between Prize Mining Corporation (the "Company") and Lenard Diduck (the
"Vendor"). Pursuant to the original Option Agreement dated October 16,
2003, the Company had the right to acquire a 100% working interest in
certain mineral tenures located in the Atlin Mining District of British
Columbia. The Option Agreement provided for periodic payments being
made by the Company.
The new Agreement provides the Company with an extension to make the
$200,000 payment otherwise due on January 15, 2009 until March 16,
2009. In consideration for the extension, the Company proposes to issue
200,000 shares to the Vendor at a deemed price of $0.04 per share. If
the Company is unable to issue the 200,000 shares on or before January
22, 2009, the Company must pay a cash amount equal to the 200,000
shares. In addition to the original extension, the Company may elect to
further extend the option payment date from March 16, 2009 to April 15,
2009 by issuing and additional 100,000 shares at a deemed price of
$0.04 per share. If the Company is unable to issue 100,000 shares, the
Company must pay a cash amount equal to the value of the 100,000
shares.
