                               Equity fundraising



Ambient plc ("Ambient" or the "Company") announces that it has today raised
approximately #2.7 million (before expenses) by way of a subscription and a
conditional placing (the "Fundraising").



As part of the Fundraising, Oriel Securities Limited ("Oriel Securities") has
conditionally placed 2,077,777 million new ordinary shares of 1 pence each ("
Placing Shares"), at a price of 45 pence per share in cash (the "Placing Price")
with institutional investors (the "Placing").



As part of the Fundraising, certain companies of which Vincent Isaacs and Andrew
Stimpson, Chairman and Group Managing Director of the Company respectively, are
shareholders, Peter Revell-Smith a Non Executive Director, and certain other
persons or companies procured by the Company have agreed to subscribe in cash
for a total of 3,883,331 new ordinary shares  (the Subscription Shares") at the
Placing Price (the "Subscription").



Following the Fundraising, the Placing Shares and the Subscription Shares
(together, the "New Shares") will represent approximately 11.69 per cent. of the
Company's enlarged issued share capital.



The aggregate proceeds of the Fundraising will be used to complete the
restructuring of the Ambient group announced with Ambient's preliminary results
on 28 April 2003, reduce the group's indebtedness and assist the organic
expansion of the Company's cash machine subsidiary, Moneybox.



The Fundraising is conditional, inter alia, on admission of the New Shares to
the Alternative Investment Market ("AIM").



Application has been made for admission of the New Shares to trading on AIM,
which is expected to become effective on Monday 19 May 2003. The New Shares will
rank pari passu in all respects with the existing issued ordinary share capital
of the Company.
