Flanigans’s Enterprises, Inc. is not filing
by the prescribed due date its Form 10-Q for the thirteen weeks ended January 1, 2022 (the “Form 10-Q”). The Company intends
to file the Form 10-Q on or before the fifth calendar day extension provided by Rule 12-25. The delay in filing has been caused by the
need for additional time to complete the presentation of its financial statements and the analysis thereof to be included in the Form
10-Q.

Form 12b-25 - Notification of Late Filing
Part IV (3) - Explanation
It
is anticipated that the Company will:
(i) Report
an increase in revenue generated from restaurant food and bar sales for the thirteen weeks ended January 1, 2022, as compared to the
thirteen weeks ended January 2, 2021. Revenue generated from restaurant food and bar sales for the thirteen weeks ended January 1, 2022,
increased when compared to restaurant food and bar sales for the thirteen weeks ended January 2, 2021, due to the comparatively more
adverse effects of COVID-19 on our operations during the thirteen weeks ended January 1, 2021, as compared with the thirteen weeks ended
January 1, 2022; and
(ii) Report
a material increase in net income for the thirteen weeks ended January 1, 2022, as compared to the thirteen weeks ended January 2, 2021,
due to the forgiveness occurring during the thirteen weeks ended January 1, 2022, of $3,488,000 of borrowings loaned to us under the
second round of the Paycheck Protection Program.
