Item 3.01.
Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
 
On December 10, 2021, Condor Hospitality Trust, Inc. (the “Company”), in accordance with the authority granted by the Company’s board of directors, provided written notice to the NYSE American (the “Exchange”) of its intention to voluntarily delist its common stock, par value $0.01 (the “Common Stock”), on the Exchange. The Company expects to file a Form 25 with the Securities and Exchange Commission and the Exchange relating to the delisting of the Common Stock on December 20, 2021, with the trading of its Common Stock on the Exchange being suspended on or about December 31, 2021. The Company does not expect that a trading market will develop for its Common Stock following suspension of trading on the Exchange. The Company expects that the official delisting of the Common Stock will be effective on or about December 31, 2021.
