                             Director Shareholding


The Company was informed on 11 November 2003 that the Trustee of the Radstone
Technology PLC Share Incentive Plan (the "Trust"), purchased 3,023 ordinary
shares of 12.5p each in the Company ("Ordinary Shares") at a price of #3.37 per
share on 7 November 2003. Following this purchase the Trust now holds 107,263
Ordinary Shares, representing 0.38% of the issued ordinary share capital of the
Company.

All employees of the Company, including the executive directors, are potential
beneficiaries of the Trust.
