                            Resignation of directors



The Board of Directors of Sherwood wishes to announce the resignation as
directors of Sherwood of each of Mark Williams, Martyn Lambert and Philip
Crawford, with effect from 20 August, 2003.

The Board changes are made as a result of the recent takeover offer for Sherwood
by SunGard Insurance Services Limited, a wholly owned subsidiary of SunGard Data
Systems Inc, which was declared unconditional in all respects on 11 August,
2003.
