Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 22, 2010, Annemarie V. Romagnoli resigned as a Director of CMS Bancorp, Inc. (the “Company”), effective immediately, due to personal reasons. Ms. Romagnoli had planned to retire at the end of her term on December 31, 2010. Her resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. At this time, the Company has not made any decisions with respect to electing a replacement for Ms. Romagnoli.
