On February 5, 2018, Lilia Lauren, Senior Vice President and a named
executive officer of Fred’s, Inc. (the “Company”), notified the Company
of her intent to resign, effective on March 5, 2018.
(e)
On February 9, 2018, Ms. Lauren and the Company entered into a
Consulting Agreement, which becomes effective on March 6, 2018 (the
“Consulting Agreement”). Pursuant to the Consulting Agreement, Ms.
Lauren will serve as a consultant to the Company from March 6, 2018 to
April 19, 2018, and will receive $9,000 per week for such services. The
foregoing description of the Consulting Agreement does not purport to be
complete, and is qualified in its entirety by reference to such
Consulting Agreement, which will be filed as an exhibit to the Company’s
next periodic report filed under the Securities and Exchange Act of
1934, as amended.
