( 1)  The total includes 10,900 restricted shares issued on October 22, 2008 of issuer's common stock issued pursuant to the 2008 Equity Incentive Plan for Non-Employee Directors of ICO, Inc. All of these restricted shares will vest on February 1, 2010, subject to forfeiture prior to vesting in accordance with the terms of the Restricted Stock Agreement pursuant to which such restricted shares were awarded.
