The tender offer is expected to commence between January 10 and January 25, 2011, and to close in February 2011. The acquisition is expected to close in the first or second quarter of 2011. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by Martek’s board of directors.
