The claims concern whether the Sonesta Board of Directors breached their fiduciary duties to Sonesta stockholders by failing to adequately shop the Company before entering into this transaction and whether Sonesta Acquisition Corporation is underpaying for Sonesta shares, thus unlawfully harming Sonesta stockholders.
