Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 10, 2020, Mr. Scott C. Chandler, a Director of Westell Technologies, Inc. (the “Company”) since 2018, stepped down from the Company’s Board. The change was effective December 11, 2020. There are no plans to replace Mr. Chandler, consistent with the Company’s previously stated objective to reduce the ongoing costs of being a public company.
