Corporation® (NYSE: AMB), a leading owner, operator and developer
of global industrial real estate, today announced it intends to
offer 12 million shares of its common stock in a registered
offering. The company also plans to grant the underwriters an
option to purchase up to 1.8 million additional shares to cover
over-allotments, if any. Morgan Stanley, J.P. Morgan and BofA
Merrill Lynch will act as joint bookrunners for the proposed
offering.
AMB intends to contribute the net proceeds from the sale of the
common stock to its operating partnership. The operating
partnership intends to use the net proceeds for general corporate
purposes, which may include equity investments in co-investment
funds, acquisitions of properties, portfolios of properties or
interests in property-owning or real estate-related entities;
development, redevelopment or value-added conversion activities;
the repayment of indebtedness (which may include inter-company
indebtedness); the redemption or other repurchase of outstanding
securities; loans to affiliated entities; capital expenditures and
increasing its working capital. Pending such uses, the
operating partnership intends to use the net proceeds to reduce
borrowings under its unsecured credit facilities or invest in
short-term securities.
