Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain
Officers; Compensatory Arrangements of Certain Officers.
On July 30, 2019, Delphi Technologies PLC (the Company) announced that Mary
Gustanski, the Companys Senior Vice President and Chief Technology Officer, will be departing from her current role in the fourth quarter of 2019 as part of a planned succession. To assist with the transition, Ms. Gustanski will remain an
employee and officer of the Company through December 31, 2019.
The Company and Ms. Gustanski have reached an agreement, which, in exchange for
a release of claims, provides for payment of benefits following December 31, 2019 that are consistent with the Companys compensation plans previously filed with the Securities and Exchange Commission.
