Explanation of Responses:
(1) Each performance share unit represented a contingent right to receive one share of PIPR common stock. The performance share units vested 50% based on attaining certain levels of adjusted return on equity and 50% based on relative total shareholder return within a group of peer companies, both as measured from January 1, 2017 through December 31, 2019.
(2) The reporting person made a bona fide gift to a revocable living trust as described in note 3 below.
(3) The shares are held through a revocable living trust, of which the reporting person is trustee and both the reporting person and the reporting person's spouse are beneficiaries.
