mHealth Capital Corp. Completes Initial Public Offering

mHealth Capital Corp. (TSX VENTURE:DOC.P) (the "Corporation"), a
capital pool company, is pleased to announce it has successfully
completed its initial public offering (the "Offering") of 5,000,000
common shares ("Common Shares") at a price of $0.10 per share for
gross proceeds of $500,000. Leede Financial Markets Inc. (the
"Agent") acted as agent for the Offering. Subsequent to the
issuance of the Common Shares pursuant to the Offering, the
Corporation has 9,030,000 Common Shares issued and outstanding. The
Corporation has also granted options to acquire an aggregate of
903,000 Common Shares, at an exercise price of $0.10 per share, to
officers and directors of the Corporation, which options will
expire five years from the date of grant. The Corporation paid the
Agent a cash commission equal to 10% of the gross proceeds and a
corporate finance fee. In addition, the Corporation granted the
Agent warrants to acquire in the aggregate 500,000 Common Shares at
an exercise price of $0.10 per share. The Agent's warrants will
expire 24 months from the date the Corporation's Common Shares are
listed for trading on the TSX Venture Exchange (the "Exchange"). It
is expected that the Corporation's Common Shares will commence
trading within 10 days under the stock symbol DOC.P.
