Humboldt Capital Corporation ("Humboldt") (TSX VENTURE:HMB) advises that on June
13, 2011, Humboldt purchased $7.34 million of Diaz Resources Ltd.'s ("Diaz")
private placement of secured subordinated convertible debentures ("Debentures").
The Debentures acquired by Humboldt are due on March 31, 2016, and are
convertible into 97,866,667 Common Shares.


Robert W. Lamond owns 70.6% of the outstanding shares of Humboldt. Mr. Lamond
and Humboldt together own 30,487,467 Common Shares of Diaz or 33.5% of the
outstanding shares. If all of the Debentures issued in Diaz's private placement
are converted to Common Shares of the Company, Humboldt and Mr. Lamond would
hold, directly or indirectly, 128,354,134 common shares, representing
approximately 65.0% of the then outstanding Common Shares of Diaz.


The acquisitions were for investment purposes and each of Humboldt and Robert W.
Lamond may, from time to time, as market opportunities exist or develop,
increase or decrease their beneficial ownership, or control and direction over,
Diaz's Common Shares as permitted by securities law.
