(the Company) (TSX VENTURE: SAR) - Following the annual general and special meeting of shareholders of Saratoga Electronic Solutions Inc. held on September 30, 2010 in Montreal at the head office of the Company, in accordance with regulatory section 51-102, we hereby advise you of the following shareholders voting results obtained at the Meeting;

1- Election of directors:

The five nominees proposed by management were elected on a vote by show of hands:

--  Georges A. Durst
--  Donald W. Seal, QC
--  Alfredo Perez
--  Martin Fontaine
--  Luc Charlebois

2- Appointment of the Company's auditors:

WSBG LLP - S.E.N.C.R.L. were appointed as the Company's auditors on a vote by show of hands and thus, authorizing the Directors to fix the auditors remuneration.
