Item 5.02.
Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 10, 2008, John Simons retired as Chairman and a director of the Board of Directors of Avensys Corporation (the “Company”), effective immediately. There was no disagreement or dispute between Mr. Simons and the Company which led to his retirement. The Board of Directors accepted his retirement and wish to thank him for his outstanding contribution to the Company over the past 2 years. Jos Wintermans, a director of the Company since November 2005, and Chair of the Compensation Committee, will replace Mr. Simons as Chairman of the Board of Directors effective immediately.
