Appointment of New Director
On October 2, 2015, the Board of Directors
of Confederate Motors, Inc., a Delaware corporation (the “Company”), appointed James Hoegh to serve as a class
I director effective as of the date of his acceptance and, on November 23, 2015, Mr. Hoegh accepted the appointment. The term of
Mr. Hoegh’s appointment is until the next annual meeting of shareholders or until his successor is duly elected and qualified.
At this time, there are no plans to appoint Mr. Hoegh to any committees. Mr. Hoegh does not have a family relationship with any
of the Company’s directors or executive officers or any persons nominated or chosen by the Company to be a director or executive
officer.
There is no disclosure to be provided pursuant
to Item 404(a) of Regulation S-K relating to Mr. Hoegh’s appointment as a director.
