(b) Effective
as of August 4, 2020, David H. Kennedy resigned as a director of Carbon Energy Corporation
(“Carbon” or the “Company”) for personal reasons.
Mr. Kennedy’s decision to resign from the Carbon Board of Directors did not involve a disagreement with Carbon on
any matter.
