Item 8.01 Other Events.

 

On April 5, 2012 the Compensation Committee of DJSP Enterprises, Inc. (the “Company”), approved the issuance of ordinary shares as restricted shares (the “Restricted Shares”) pursuant to a restricted share agreement under the Company’s 2009 Equity Incentive Plan to the members of the Board of Directors of the Company, by means of a private placement, as follows:

 

  Nicholas Adler 100,000 Restricted Shares
  Stephen J. Bernstein 100,000 Restricted Shares
  Jerry L. Hutter 100,000 Restricted Shares
  Kerry Propper 100,000 Restricted Shares.

 

The grants of Restricted Shares were made pursuant to and on the terms set forth in the form of Restricted Share Award Agreement attached as Exhibit 10.1 hereto.
