Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Ron Silvestri, the Company’s Chief Financial Officer, secretary and director, resigned, effective August 5, 2008 to pursue other business opportunities. Mr. Silvestri will remain employed as C.F.O. until August 22, 2008 for the company.
