Item 1.01 Entry into a Material Definitive Agreement

On November 25, 2008, the Company sold additional receivables with a face value of $256,228 for an aggregate purchase price of  $250,000 to Howard S. Modlin, its Chief Executive Officer, pursuant to the same terms and conditions as the Receivable Sales Agreement dated October 24, 2008 previously filed with the Securities and Exchange Commission as an exhibit.
