Section 1 - Registrant’s Business and Operations

Item 1.01  Entry into a Material Definitive Agreement.

On March 20, 2008, Industrial Enterprises of America, Inc. (the “Company”) entered into Amendment 1 (the “Amendment”) to its Loan and Securities Purchase Agreement, dated January 16, 2008 (the “Agreement”), with Black Nickel Vision Fund LLC (“Black Nickel”) , an institutional and accredited investor.  The Agreement requires the Company to become current in its reporting obligations by a pre-designated date (the “Filing Deadline”), or to issue additional shares of its common stock to Black Nickel.  The Amendment modified the Filing Deadline and added certain provisions related to a potential sale of the Company, or substantially all of the assets of the Company, prior to the earlier of (i) the Filing Deadline, or (ii) the date the Company becomes current in its reporting obligations.
