Item 3.02 Unregistered Sales of Equity Securities.
On May 25, 2017, the Company received a conversion notice to issue 14,744,489 shares of its common stock to JSJ in exchange for $4,621.21 of principal balance and $3,488.26. of accrued interest of the $55,000 Convertible Note. The remaining balance on the note is approximately $0. The Company had two notes with JSJ, this represents the full conversion of all of JSJ’s convertible notes.
